General Terms and Conditions of Sale and Delivery of CP contech electronic GmbH for use in business dealings with entrepreneurs


I. General provisions, scope of application
Our General Terms and Conditions of Sale and Delivery shall always and exclusively apply; we do not recognize any terms and conditions of the customer that conflict with or deviate from our General Terms and Conditions of Sale and Delivery unless we have expressly agreed to their validity. Our General Terms and Conditions of Sale and Delivery shall also apply if we carry out the delivery to the customer without reservation in the knowledge that the customer's terms and conditions conflict with or deviate from our General Terms and Conditions of Sale and Delivery.

All our deliveries, services and offers are made exclusively on the basis of these General Terms and Conditions of Sale and Delivery. These General Terms and Conditions of Sale and Delivery are an integral part of all contracts that we conclude with our contractual partners (hereinafter also referred to as "Customer"). They shall also apply to all future deliveries, services or offers to our contractual partners, even if they are not separately agreed again.

Our General Terms and Conditions of Sale and Delivery only apply to companies within the meaning of Section 310 (1) of the German Civil Code (BGB).

We are entitled to assign the claims arising from our business relations.

II Offer and conclusion of contract

All our offers are subject to change and non-binding, unless they are expressly marked as binding or contain a specific acceptance period. Orders or commissions can be sent to us in any way. We can accept these within fourteen days of receipt.

The acceptance of an offer is only binding for us if it is made in writing. However, the dispatch or delivery of the ordered goods within the acceptance period shall also be deemed as acceptance.

The legal relationship between us and the customer shall be governed solely by the written contract of sale or contract for work and services, including these General Terms and Conditions of Sale and Delivery. This fully reflects all agreements between the contracting parties on the subject matter of the contract.

Additions and amendments to the agreements made, including these General Terms and Conditions of Sale and Delivery, must be made in writing to be effective. Telecommunication, in particular by fax or e-mail, is sufficient to comply with the written form requirement, provided that a copy of the signed declaration is transmitted.

Information on the object of the delivery or service (e.g. weights, dimensions, utility values, load capacity, tolerances and technical data) as well as our representations of the same (e.g. drawings and illustrations) are only approximate, unless the usability for the contractually intended purpose requires exact conformity. They are not guaranteed characteristics, but descriptions or identifications of the delivery or service. Deviations that are customary in the trade and deviations that occur due to legal regulations or represent technical improvements, as well as the replacement of components with equivalent parts, are permissible insofar as they do not impair the usability for the contractually intended purpose.

We reserve the property rights and copyrights to all offers and cost estimates submitted by us as well as drawings, illustrations, calculations, brochures, catalogs, models, tools, software and other documents and aids made available to the client. The client may not make these items accessible to third parties, disclose them, use them himself or through third parties or reproduce them without our express consent. At our request, the client must return these items to us in full and destroy any copies made.

The client shall be granted a simple, non-exclusive right to use the software supplied.

III. Prices and payment
The prices apply to the scope of services and deliveries listed in the order confirmations. Additional or special services shall be invoiced separately. Prices are quoted in EURO ex works plus packaging, statutory VAT, customs duties in the case of export deliveries as well as fees and other public charges. Any shipping costs shall be borne by the client. Insofar as unforeseeable cost increases occur after conclusion of the contract up to the execution of the order, we shall be entitled to adjust the prices within the framework of the changed circumstances and without charging an additional profit.

Unless otherwise stated in the order confirmation, the purchase price shall be due for payment without deduction within 14 days of the invoice date. If the buyer is in arrears with any payment obligations to us, all existing claims shall become due immediately. In all other respects, the statutory regulations concerning the consequences of default shall apply.

The buyer or customer shall only be entitled to set-off rights if his counterclaims have been legally established, are undisputed or have been recognized by us. Furthermore, he is only authorized to exercise a right of retention insofar as his counterclaim is based on the same contractual relationship.

We are entitled to execute or render outstanding deliveries or services only against advance payment or provision of security if, after conclusion of the contract, we become aware of circumstances which are likely to significantly reduce the creditworthiness of the buyer or customer and which jeopardize the payment of our outstanding claims from the respective contractual relationship.

All payments shall be made with debt-discharging effect exclusively to VR FACTOREM GmbH, Ludwig-Erhard-Straße 30 - 34, 65760 Eschborn, to which we have assigned our present and future claims arising from our business relationship. We have also transferred our reserved property to VR FACTOREM GmbH.

IV. Delivery and delivery time
Our deliveries are always ex works (Ex Works - Incoterms 2010) from our registered office in Leopoldshöhe (Germany), unless otherwise stated in our delivery confirmation.

Deadlines and dates for deliveries and services promised by us are always only approximate, unless a fixed deadline or a fixed date has been expressly promised or agreed. All agreements regarding delivery times are subject to the timely receipt of all documents and information to be supplied by the customer as well as other contractual obligations of the customer. If shipment has been agreed, delivery periods and delivery dates refer to the time of handover to the forwarding agent, carrier or other third party commissioned with transportation.

We shall not be liable for impossibility of delivery or for delays in delivery insofar as these are caused by force majeure or other events unforeseeable at the time of conclusion of the contract (e.g. operational disruptions of all kinds, difficulties in procuring materials or energy, transport delays, strikes, lawful lockouts, shortages of labor, energy or raw materials, difficulties in obtaining necessary official permits, official measures or the failure of suppliers to deliver or to deliver correctly or on time) for which the seller is not responsible. If such events make delivery or performance significantly more difficult or impossible for us and the hindrance is not only of a temporary nature, we are entitled to withdraw from the contract. In the event of hindrances of a temporary duration, the delivery or performance deadlines shall be extended or the delivery or performance dates shall be postponed by the period of the hindrance plus a reasonable start-up period. If the customer cannot reasonably be expected to accept the delivery or service as a result of the delay, he may withdraw from the contract by means of an immediate written declaration addressed to us.

We are only entitled to make partial deliveries if the partial delivery can be used by the customer within the scope of the contractual purpose, the delivery of the remaining ordered goods is ensured and the customer does not incur any significant additional work or additional costs as a result, unless we agree to bear these costs.

If we are in default with a delivery or service or if a delivery or service becomes impossible for us, for whatever reason, the Seller's liability for damages shall be limited in accordance with Section X. of these General Terms and Conditions of Sale and Delivery.

V. Place of performance, shipment, packaging, transfer of risk, acceptance
The place of performance for all obligations arising from the contractual relationship is our registered office in Leopoldshöhe (Germany), unless expressly agreed otherwise.

The shipping method and packaging are subject to our dutiful discretion.

The risk shall pass to the customer at the latest when the subject matter of the contract is handed over (whereby the start of the loading process shall be decisive) to the forwarding agent, carrier or other third party designated to carry out the shipment. This shall also apply if partial deliveries are made or if we have assumed other services (e.g. shipment or installation). If the shipment or handover is delayed due to a circumstance caused by the customer, the risk shall pass to the customer from the day on which the delivery item is ready for shipment and we have notified the customer of this.

We shall only insure the consignment against theft, breakage, transport, fire and water damage or other insurable risks at the express request of the customer and at the customer's expense.

If acceptance is required, the subject matter of the contract shall be deemed to have been accepted if
- the delivery and, if we also owe the installation, the installation has been completed,
- we have notified the client of this with reference to the fiction of acceptance in accordance with this Section V. (5) and have requested him to accept,
- 14 days have passed since delivery or installation or the client has started to use the purchased item (e.g. has put the delivered system into operation) and in this case seven days have passed since delivery or installation and - the client has refused acceptance within this period for reasons other than a defect notified to us which impairs the use of the purchased item. the delivered system has been put into operation) and in this case seven days have passed since delivery or installation and
- the customer has failed to take delivery within this period for a reason other than a defect notified to us which makes the use of the subject matter of the contract impossible or significantly impairs it.

VI. Retention of title
We shall retain title to the objects of the contract and delivery until all our claims against the client arising from the business relationship have been fulfilled. These and the items covered by the retention of title which take their place in accordance with the following provisions are hereinafter referred to as "reserved items".
The client is entitled to process and sell the reserved goods in the ordinary course of business until the event of realization (paragraph 8) occurs. Pledges and transfers by way of security are not permitted.

If the reserved goods are processed by the client, it is agreed that the processing is carried out in our name and for our account as manufacturer and that we directly acquire ownership or - if the processing is carried out from materials of several owners or the value of the processed item is higher than the value of the reserved goods - co-ownership (fractional ownership) of the newly created item in the ratio of the value of the reserved goods to the value of the newly created item. In the event that no such acquisition of ownership should occur for us, the customer hereby transfers his future ownership or - in the above-mentioned ratio - co-ownership of the newly created item to us as security. If the reserved items are combined or inseparably mixed with other items to form a uniform item and if one of the other items is to be regarded as the main item, we shall, insofar as the main item belongs to us, transfer co-ownership of the uniform item to the client on a pro rata basis in the ratio specified in sentence 1.

In the event of the resale of the reserved goods, the customer hereby assigns to us by way of security the resulting claim against the purchaser - in the case of our co-ownership of the reserved goods in proportion to the co-ownership share. The same shall apply to other claims which take the place of the reserved goods or otherwise arise with regard to the reserved goods, such as insurance claims or claims in tort in the event of loss or destruction. We revocably authorize the client to collect the claims assigned to us in his own name. In the event of realization, however, we may revoke this collection authorization at any time.

If third parties seize the goods subject to retention of title, in particular by attachment, the customer shall inform them immediately of our ownership and inform us of this in order to enable us to enforce our ownership rights. If the third party is not in a position to reimburse us for the court or out-of-court costs incurred in this connection, the customer shall be liable to us.

We undertake to release the items subject to retention of title and the items or claims replacing them at the request of the customer if their value exceeds the amount of the secured claims by more than 50%; we shall be responsible for selecting the items to be released accordingly.

We shall be entitled to withdraw from the contract and demand the return of the reserved goods in the event of breach of contract by the customer, in particular in the event of default in payment. After taking possession of the reserved goods, we shall be entitled to realize them. The proceeds from the realization, less reasonable realization costs, shall be offset against the client's liabilities.

It is not necessary to withdraw from the contract in order to assert the rights arising from retention of title, unless the customer is a consumer.

VII. Sachmängel und Gewährleistung
Die Gewährleistungsfrist beträgt ein Jahr ab Lieferung oder, soweit eine Abnahme erforderlich ist, ab der Abnahme. Diese Frist gilt nicht, soweit das Gesetz gemäß §§ 438 Abs. 1 Nr. 2 (Bauwerke und Sachen für Bauwerke), 479 Abs. 1 (Rückgriffsanspruch) und 634a Abs. 1 Nr. 2 (Baumängel) BGB längere Fristen vorschreibt, bei Vorsatz, arglistigem Verschweigen eines Mangels sowie bei Nichteinhaltung einer Beschaffenheitsgarantie.
Die gelieferten Gegenstände sind unverzüglich nach Ablieferung an den Auftraggeber oder an den von ihm bestimmten Dritten sorgfältig zu untersuchen. Die ordnungsgemäße Untersuchung von elektronischen Bauteilen umfasst die Erprobung dergleichen auf Funktionalität (Funktionstest). Die gelieferten Gegenstände gelten hinsichtlich offensichtlicher Mängel oder anderer Mängel, die bei einer unverzüglichen, sorgfältigen Untersuchung erkennbar gewesen wären, als vom Auftraggeber genehmigt, wenn uns nicht unverzüglich nach Ablieferung eine schriftliche Mängelrüge zugeht. Hinsichtlich anderer Mängel gelten die Liefergegenstände als vom Auftraggeber genehmigt, wenn die Mängelrüge uns nicht unverzüglich nach dem Zeitpunkt zugeht, in dem sich der Mangel zeigte; war der Mangel für den Auftraggeber bei normaler Verwendung bereits zu einem früheren Zeitpunkt erkennbar, ist jedoch dieser frühere Zeitpunkt für den Beginn der Rügefrist maßgeblich.
Bei Sachmängeln der gelieferten Gegenstände sind wir nach unserer innerhalb angemessener Frist zu treffenden Wahl zunächst zur Nachbesserung oder Ersatzlieferung verpflichtet und berechtigt. Im Falle des Fehlschlagens, dh. der Unmöglichkeit, Unzumutbarkeit, Verweigerung oder unangemessenen Verzögerung der Nachbesserung oder Ersatzlieferung, kann der Auftraggeber vom Vertrag zurücktreten oder den Kaufpreis angemessen mindern.
Erfüllungsort der Nacherfüllung ist unser Unternehmenssitz in Leopoldshöhe (Deutschland), soweit sich nicht aus dem Vertrag ausdrücklich etwas anderes ergibt. Auf unser Verlangen ist ein beanstandeter Liefergegenstand frachtfrei an uns zurückzusenden. Die Kosten des günstigsten Versandweges werden von uns erstattet, sofern wir hierzu gesetzlich verpflichtet sind; dies gilt nicht, soweit sich die Kosten dadurch erhöhen, dass der Liefergegenstand sich an einem anderen Ort als dem Ort des bestimmungsgemäßen Gebrauchs befindet.
Sofern im Einzelfall nur ein vom übrigen Teil des Liefergegenstandes trennbares Bauteil mangelhaft ist, genügen wir unserer Gewährleistungspflicht durch Nachlieferung eines mangelfreien Bauteils. Ohne weiteres trennbar ist ein Bauteil, dass vom Auftraggeber ohne Fachkenntnisse vom Liefergegenstand getrennt werden kann. Auf unser Verlangen ist das beanstandete Bauteil frachtfrei an uns zurückzusenden. Die Kosten des Versandes erstatten wir unter den Voraussetzungen des Absatz 4 Satz 3.
Wird ein Produkt nach Vorgaben des Auftraggebers von uns neu hergestellt oder ein bestehendes Produkt nach Maßgabe des Auftraggebers verändert oder modifiziert, hat uns der Auftraggeber sämtliche Weisungen zur Spezifikation fehlerfrei zu erteilen. Hierzu gehören insbesondere die richtigen, vollständigen und aktuellen Angaben und Auskünfte zu Produktvorgaben. Fehlerhafte Weisungen oder Angaben des Auftraggebers führen zum Ausschluss der Gewährleistung, sofern wir auf Probleme bei der Ausführung hingewiesen haben oder die Fehlerhaftigkeit der Weisungen oder Angaben nicht erkennen konnten.
Wir schulden bei der Herstellung eines neuen Produktes lediglich den deutschen Qualitätsstandard „Allgemein anerkannte Regeln der Technik“, es sei denn dass ein anderer Qualitätsstandard auf Grundlage vom Auftraggeber beizubringender Zeichnungen und Muster vorgegeben und von den Parteien ausdrücklich schriftlich vereinbart wird.
Beruht ein Mangel auf dem Verschulden des Verkäufers, kann der Auftraggeber unter den in Ziffer X. bestimmten Voraussetzungen Schadensersatz verlangen.
Bei Mängeln von Bauteilen anderer Hersteller, die wir aus lizenzrechtlichen oder tatsächlichen Gründen nicht beseitigen können, werden wir nach unserer Wahl unsere Gewährleistungsansprüche gegen die Hersteller und Lieferanten für Rechnung des Auftraggebers geltend machen oder an den Auftraggeber abtreten. Gewährleistungsansprüche gegen uns bestehen bei derartigen Mängeln unter den sonstigen Voraussetzungen und nach Maßgabe dieser Allgemeinen Verkaufs- und Lieferbedingungen nur, wenn die gerichtliche Durchsetzung der vorstehend genannten Ansprüche gegen den Hersteller und Lieferanten erfolglos war oder, beispielsweise aufgrund einer Insolvenz, aussichtslos ist. Während der Dauer des Rechtsstreits ist die Verjährung der betreffenden Gewährleistungsansprüche des Auftraggebers gegen uns gehemmt.
Die Gewährleistung entfällt, wenn der Auftraggeber den Liefergegenstand ohne unsere Zustimmung ändert oder durch Dritte ändern lässt und die Mängelbeseitigung hierdurch unzumutbar erschwert oder unmöglich wird. In jedem Fall hat der Auftraggeber die durch die Änderung entstehenden Mehrkosten der Mängelbeseitigung zu tragen.
Eine im Einzelfall mit dem Auftraggeber vereinbarte Lieferung gebrauchter Gegenstände erfolgt unter Ausschluss jeglicher Gewährleistung für Sachmängel.

VIII Industrial property rights
If a third party asserts an infringement of industrial property rights or copyrights by the delivery item against the customer, the customer is obliged to inform us of this immediately in writing.

In the event that the delivery item infringes an industrial property right or copyright of a third party, we shall be entitled and obliged, at our discretion and within a reasonable period of time, to modify or replace the delivery item at our expense in such a way that the rights of third parties are no longer infringed, but the delivery item continues to fulfill the contractually agreed functions, or to procure the right of use for the customer by concluding a license agreement. If we do not succeed in doing so within a reasonable period of time, the client is entitled to withdraw from the contract or to reduce the purchase price appropriately. Any claims for damages on the part of the client shall be subject to the limitations set out in Section X. of these General Terms and Conditions of Sale and Delivery.

In the event of infringements of rights by products of other manufacturers supplied by us, we shall, at our discretion, assert our claims against the manufacturers and upstream suppliers for the account of the client or assign them to the client. In these cases, claims against us shall only exist in accordance with this Section VIII if the judicial enforcement of the aforementioned claims against the manufacturers and upstream suppliers was unsuccessful or is futile, for example due to insolvency. Any claims for damages on the part of the customer shall also be subject to the limitations of Section X. of these General Terms and Conditions of Sale and Delivery.

IX. Special procurements
The separate General Terms and Conditions of Sale and Delivery for Special Procurement or the General Terms and Conditions of Sale and Delivery for Special Procurement with Test shall apply to goods that are not part of our offered product range and that we are commissioned to procure (special procurement), insofar as such has been agreed.
Our General Terms and Conditions of Sale and Delivery for Special Procurement and General Terms and Conditions of Sale and Delivery for Special Procurement with Test shall apply in addition.


X. Liability for damages
We limit our liability for damages, irrespective of the legal grounds, insofar as fault is involved, in accordance with this Section X.

We exclude our liability for damages in the event of simple negligence on the part of our executive bodies, legal representatives, employees or other vicarious agents, unless
a. Damage resulting from injury to life, limb or health,
b. Guaranteed characteristics,
c. The assumption of a guarantee or
d. claims under the Product Liability Act
are affected. Furthermore, liability for damages for the breach of essential contractual obligations, the fulfillment of which is essential for the proper execution of the contract or on the observance of which the buyer may regularly rely, remains unaffected.

Insofar as we are liable for damages on the merits in accordance with Section X. (2), this liability shall be limited to damages which we foresaw as a possible consequence of a breach of contract at the time of conclusion of the contract or which we should have foreseen if we had exercised due care. Indirect damage and consequential damage resulting from defects in the delivery item shall only be eligible for compensation if such damage is typically to be expected when the delivery item is used as intended.

The above exclusions and limitations of liability shall apply to the same extent in favor of our executive bodies, legal representatives, employees and other vicarious agents.

Insofar as we provide technical information or act in an advisory capacity and this information or advice is not part of the contractually agreed scope of services owed by us, this is done free of charge and to the exclusion of any liability.

The limitations of this Section X. shall not apply to the Seller's liability for intentional conduct, for guaranteed characteristics, for injury to life, limb or health or under the Product Liability Act.

XI. Applicable law, place of jurisdiction, final provision

The law of the Federal Republic of Germany shall apply exclusively, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).

The place of jurisdiction for any disputes arising from the business relationship between us and the customer shall be, at our discretion, Leopoldshöhe (Germany) or Frankfurt am Main. In these cases, however, Leopoldshöhe (Germany) shall be the exclusive place of jurisdiction for legal action against the seller. Mandatory statutory provisions on exclusive places of jurisdiction shall remain unaffected by this provision.

Insofar as the contract or these General Terms and Conditions of Sale and Delivery contain loopholes, those legally effective provisions shall be deemed to have been agreed to fill these loopholes which the contracting parties would have agreed in accordance with the economic objectives of the contract and the purpose of these General Terms and Conditions of Sale and Delivery if they had been aware of the loophole.

Note:

The client acknowledges that we store data from the contractual relationship in accordance with § 28 of the Federal Data Protection Act for the purpose of data processing and that we reserve the right to transfer the data to third parties (e.g. insurance companies) to the extent necessary for the fulfillment of the contract.

Low-cost inspection and test procedure for embedded systems with cloud connection

Project description:

In the past, embedded systems were often determined by their electrical functionality. The production test was carried out directly on the production line by means of an electrical or optical test (AOI or ICT, for example), usually using a stand-alone test device. These devices are expensive, complex to operate and have no cloud connection. A simple, cost-effective and at least partially standardized solution for the production test of embedded systems with medium or low complexity, both stand-alone and in the end product, is missing. This need is to be addressed by the Cyber Physical Test System (CPTS) to be developed. The system consists of a standardized, simple "test mouse" that loads the device-under-test with test programs and controls the test execution, add-on modules for standardized or product-specific tests, a connection via the Internet to a test cloud and a user interface, e.g. in the form of a tablet.

Project description:

As part of the project described above, a system solution for the integration of charging points and charging infrastructures into metropolitan energy management systems is being developed and implemented as a prototype. Three relevant scenarios are addressed: the integration of a charging point into the smart home (charging at home), into smart grids (charging in public spaces) and into smart factories (charging at the workplace).
Role of contech: CP contech electronic GmbH is responsible for the development of the charging control unit (for charging points) with the corresponding gateway functionality for integration into the three target scenarios.

Project description:

In order to optimally support and automate design processes for future automotive electronics systems, the use of AI methods is absolutely essential due to the significant increase in system complexity on the road to autonomous and electrically powered vehicles. By using AI, functionally safe electronic systems can be developed faster and more reliably. This should significantly accelerate innovation. The aim of the progressivKI project is to develop a generalized AI-supported design process for automotive electronics systems.

AI applications open up far-reaching potential for optimizing processes and increasing the performance of manufacturing companies. Specifically, development capacities can be increased and development times and subsequent manufacturing costs can be reduced. However, the necessary AI expertise is often lacking. In turn, providers of AI solutions often lack access to user and domain knowledge. Holistic circular product development for intelligent technical systems

Project description:

The manufacture of mechatronic products, such as semiconductors, is characterized by high energy requirements, the use of critical raw materials and complex production conditions. One approach to solving this problem is the circular economy. This means that waste is avoided by reusing and repairing existing products. If this is not possible, the products are broken down into their starting materials, i.e. raw materials, in order to recycle them. This basic idea must also be implemented in the product creation process. To this end, the ZirkuPro project aims to develop a system for holistic circular product creation for intelligent technical systems.
CP contech electronic GmbH is a consortium partner with its own pilot project and would like to focus more strongly on the topics of sustainability and circularity.

Smart wireless MID sensor systems for IOT applications

Project description:

The aim of the research project is to create a system for the development and production of individual AM-based MID sensor systems using laser direct structuring (LDS) technology. In this way, a secure, detailed understanding of the process will be established and at the same time a system will be developed that will enable other companies to access the technology. CP contech electronic is a consortium partner with its own pilot project and is using the example of a sensor system on a rotating fixture to investigate whether MID technology is generally suitable for industrial applications.

Traffic monitoring technology


Monitoring the safety of transport infrastructure is a key task for transport network operators. The top priority is to ensure the smooth flow of traffic while taking the safety of road users into account.
